Members meeting
Composition
The Members' Assembly is composed of all regular members of the Consortium. When voting, each regular member has one vote, which is exercised by a designated representative. Collaborating members are invited to participate in the meetings of the Assembly, but without the right to vote. Each member appoints, according to its own procedures, a person authorized to officially represent it to sit on the Members' Assembly.
Duties
- Discuss the Consortium's major strategic directions and priorities and make any recommendations it deems useful to the Executive Board;
- Receive and discuss the Consortium's annual report and, if necessary, forward any recommendations it deems useful to the Executive Board;
- Receive and discuss the planning of future activities and, if necessary, forward any recommendations it deems useful to the Executive Board;
- The Members' Assembly exercises the following responsibilities:
- Appoint its representatives to the Executive Board;
- Make any other recommendations to the Executive Board that are consistent with the Consortium's mission/mandate.
Meetings
The Members' Assembly is chaired by the Director of the Consortium.
The Assembly meets once a year, upon the call of the Director of the Consortium, or at any other time upon request of at least four regular members, who must provide the President with a written explanation of their request. One-third (1/3) of the regular members of the Assembly constitutes a quorum. A meeting may be held by any means of communication deemed appropriate. The same applies to the voting method. The decisions of the Assembly are recorded in writing.
